Shares of Arch Therapeutics, Inc. (OCQB: ARTH) declined over 20% on heavy volume during the first hour of trading on May 27, 2016. The company saw nearly 933,000 shares exchange hands or dollar volume of around $300,000. Arch Therapeutics, Inc. (OTCQB: ARTH) has seen average daily volume of around 733,000 shares over the past three months.
The medical device company dropped 20% after news that Arch Therapeutics, Inc. (OTCQB: ARTH) has entered into a private placement agreement worth $3.4 million. A private placement occurs when a group of accredited investors band together to purchase large amount of shares in a company. Under the agreement, the group of investors will purchase $3.4 million of ARTH or 9.5 million shares at a price of $0.36. Under the agreement, each common share purchased also contains a Series E Warrant, which will allow the investors to purchase three-fourths of ARTH stock at a price of $0.438.
Unfortunately, the stock closed at around $0.438 on May 26, 2016 and the private placement’s purchase price below market price is helping push the share price lower. Here is a press release of the recent deal:
FRAMINGHAM, MA–(Marketwired – May 27, 2016) – Arch Therapeutics, Inc. (OTCQB: ARTH) (“Arch” or the “Company”), developer of the AC5 Surgical Hemostatic Device™ (AC5™) for use in controlling bleeding and fluid loss in order to provide faster and safer surgical and interventional care, is pleased to announce that it has entered into subscription agreements with a group of accredited investors (the “Investors”) to purchase approximately $3.4 million of the Company’s securities in a private placement pursuant to Section 4(a)(2) of the Securities Act of 1933, as amended, and Regulation D promulgated thereunder (the “Private Placement”).
Under the terms of their respective subscription agreements, the Investors have agreed to purchase, in the aggregate, approximately 9.5 million units at a per unit price of $0.36. Each unit consists of one share of common stock and one Series E Warrant to purchase three-quarters of a share of common stock at a per share exercise price equal to $0.438, which was the closing price of common shares of the Company on May 26, 2016. The Series E Warrants have a term of five years, and are immediately exercisable on the date of issuance. As a result of the Private Placement, the Company expects to issue to the Investors approximately 9.5 million shares of common stock, and Series E warrants exercisable for approximately 7.1 million shares of common stock.
